SCOPE

Designer shall perform the services as described in the Proposal reviewed by the Client. Any services outside that purview are subject to the hourly rate listed in said Proposal.

PAYMENT TERMS

• Deposit equal to 50% of proposed total

• 100% due upon completion

• Hourly rate for work outside of scope listed in the Proposal such as extra client calls, tech support, additional design services, etc.

OWNERSHIP OF WORK

Upon receipt of full payment from Client, Designer assigns to Client all right, title, and interest in and to the work created by Designer under this Proposal. Designer retains no rights in the work, except for the right to use the work in Designer's portfolio or to display the work for self-promotion purposes.

CONFIDENTIALITY

During the course of this Proposal, the parties may exchange confidential information. The parties agree to keep such information confidential and not to disclose it to any third party without the other party's prior written consent.

INDEPENDENT CONTRACTOR

Designer is an independent contractor and not an employee of Client. Designer shall be responsible for all taxes, withholdings, and other similar statutory or contractual obligations relating to the compensation received by Designer under this Proposal.

GOVERNING LAW AND JURISDICTION

This Proposal shall be governed by and construed in accordance with Federal and State law, without giving effect to any choice of law or conflict of law provisions.

ENTIRE AGREEMENT

This Proposal constitutes the entire agreement between the parties and supersedes all prior negotiations, understandings, and agreements between the parties, whether oral or written.
